These Website Terms of Use (the "Terms") govern your use of troupe.ai and its subdomains (the "Website"), which is operated by Troupe.ai, Inc. ("Troupe", "we", "us"). By using the Website you agree to these Terms. If you do not agree, do not use the Website.

1. Customers and their users

Use of the Troupe platform and services (the "Services") by a Troupe customer is governed by that customer's signed Master Services Agreement and Order Form with Troupe, and by the Data Processing Addendum that forms part of it (together, the "Customer Agreement"). If you access the Services as an End User of a Troupe customer, your use must comply with your organization's Customer Agreement, and your organization is responsible for your compliance.

If these Terms conflict with a Customer Agreement, the Customer Agreement controls. These Terms do not change a Customer Agreement and do not create a right to use the Services without one.

2. Using the Website

You may use the Website for lawful purposes and in line with these Terms. You must be at least 18 years old.

You agree not to:

• Interfere with, disrupt or overload the Website or the systems behind it.
• Try to access any part of the Website, our systems or other users' data that is not made available to you.
• Probe, scan or test the vulnerability of our systems except as permitted by our Responsible Disclosure Policy.
• Use automated means (bots, scrapers) to collect content from the Website without our written permission.
• Introduce viruses, malware or other harmful code.
• Copy, modify, decompile or reverse engineer any part of the Website or Services, except as the law allows.
• Use the Website to infringe anyone's rights or break any law.

3. Intellectual property

The Website, the Services and their content, features and functionality are owned by Troupe and its licensors and are protected by intellectual property laws. Except for the limited right to view the Website for its intended purpose, no rights are granted to you. Our names, logos and trademarks may not be used without our prior written consent. Customer Data is addressed in the Customer Agreement, not in these Terms.

4. Feedback

If you send us comments, suggestions or ideas about the Website or Services, we may use them without restriction or obligation to you, as long as we do not identify you or your organization as their source without your consent.

5. Third-party links

The Website may link to sites that Troupe does not own or control. We are not responsible for their content, privacy practices or availability.

6. Privacy

Our Privacy Policy explains how we handle personal information collected through the Website and from account administrators. Content that customers submit to the Services is handled under the Customer Agreement and Data Processing Addendum.

7. Disclaimer

The Website is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Warranties and service levels for the Services are set out only in the Customer Agreement.

8. Limitation of liability

To the maximum extent permitted by law, Troupe will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Website, and its total liability for any claim relating to the Website will not exceed US$100. This section does not apply to, and does not limit, liability under a Customer Agreement.

9. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction over disputes about the Website, unless a Customer Agreement says otherwise.

10. Changes to these Terms

We may update these Terms by posting a new version with a new "Last updated" date. Your continued use of the Website after the change means you accept the updated Terms.
